Preamble
IDL PrepCenter GmbH, located at Schneeberger Straße 3, 09125 Chemnitz, offers fulfillment and logistics services for commercial clients ("Merchants") on its website www.prep-center.de. Services include storage, picking, packaging, and shipping of goods.

1. Subject Matter of the Contract
1.1. IDL PrepCenter GmbH undertakes to store and manage the goods transferred by the merchant in accordance with the terms established in the contract.
1.2. The merchant confirms that the transferred goods are not subject to legal restrictions and are suitable for the agreed transportation and storage.

2. Storage and Logistics Services
2.1. Goods Receipt and Inspection
IDL PrepCenter GmbH receives goods and inspects articles for completeness and visible damage. Damaged goods are not stored, but made available for collection by the merchant.
2.2. Storage and Inventory
IDL PrepCenter GmbH keeps goods under appropriate conditions and performs annual inventories. Additional inventory counts can be conducted at the merchant's request.
2.3. Picking and Packaging
Order picking is carried out according to the merchant's specific instructions. Packaging is conducted in neutral cardboard boxes unless agreed otherwise.
2.4. Shipping
IDL PrepCenter GmbH hands over shipments daily to the designated shipping carrier. Delivery takes place according to agreed shipping terms.

3. Processing Times and Acceptance Conditions
3.1. Processing time is a maximum of 7 business days from receipt of merchant instructions.
3.2. Deliveries must be announced in writing in advance. Unannounced deliveries may be rejected.
3.3. Changes or cancellations are excluded after order confirmation.

4. Payment Terms
4.1. Invoicing is monthly on the first day of each month. All payments are made exclusively via bank transfer.
4.2. Agreed fees are exclusive of statutory VAT.

5. Liability and Insurance
5.1. IDL PrepCenter GmbH is liable for damage to stored articles up to a maximum liability limit of €2,500 per damage event.
5.2. Liability for transport damages is assumed by the designated shipping carrier from the moment shipments are handed over.
5.3. The merchant is responsible for insuring goods beyond the agreed liability limits.

6. Data Protection
6.1. Personal data processing complies with the General Data Protection Regulation (GDPR). All data is stored securely on servers of IDL PrepCenter GmbH.
6.2. Collected data is used exclusively for internal purposes and not shared with third parties without merchant consent.

7. Merchant's Cooperation Obligations
7.1. The merchant undertakes to provide IDL PrepCenter GmbH with all necessary information to fulfill the contract.
7.2. The merchant is responsible for the proper delivery and packaging of articles according to agreed specifications.

8. Final Provisions
8.1. German law applies exclusively. Place of jurisdiction is Chemnitz, Germany.
8.2. Amendments or additions to these GTC require written form.
8.3. Should any provision of these GTC be invalid, the remaining provisions remain unaffected.
